How to Open a Company in Tajikistan: Step-by-Step Guide 2026-2027

This guide brings together everything you need to know to open a company in Tajikistan: which form to choose, which documents to prepare, the requirements for the company name, address and charter capital, what you receive after registration and which tax changes to take into account now. Each topic links to a detailed article by Himoya lawyers. The guide is updated as the legislation changes.
Step 1. Choose the form of presence
- LLC (limited liability company): the most versatile and widely used form, including for foreign investors. It may carry out any activity not prohibited by law.
- Branch of a foreign company carries out commercial activities on behalf of the parent company. It is not a separate legal entity: it operates on the basis of its regulations and a power of attorney.
- Representative office protects the interests of the foreign company, studies the market and establishes business contacts, but may not carry out commercial activities.
- Closed and open joint-stock companies (CJSC and OJSC) are chosen less often: registration is more complex and the requirements for management and reporting are higher.
When choosing between a branch and an LLC, consider taxes too: under the upcoming amendments, branches and representative offices of foreign companies lose the right to the simplified tax regime (see the Taxes section below). More on the forms of presence: Legal entities in Tajikistan: forms, branches and representative offices.
Step 2. Choose and check the company name
- The name of a legal entity must be in the state (Tajik) language and is always written in Cyrillic in the register.
- The name must not duplicate an already registered one.
- A foreign-language spelling may be used on the company seal and in a brand registered with the Patent Office, but not instead of the official name.
- Using the word “Tajikistan” in the name requires special conditions. For a private company this usually means charter capital of at least 50,000 calculation indicators (3,900,000 somoni in 2026).
- Prepare several options and check them before preparing the documents.
Details: Naming legal entities in Tajikistan.
Step 3. Find a legal address
The address is confirmed by a lease agreement. Officers of the registration authority visit and inspect the premises. Before signing the lease, make sure that:
- no other company or sole proprietor is registered at the address;
- the landlord has no tax debts;
- the landlord has registered the property and obtained a guvohnoma (notice) of registration of the lease agreement.
A tripartite inspection report is drawn up after the visit. If any condition is not met, registration will be refused and the documents will have to be prepared again. Details: Legal address for company registration in Tajikistan.
Step 4. Decide on the charter capital
- The minimum charter capital of an LLC is 500 somoni.
- Contributions can be made in cash, property or property rights.
- No proof of capital is needed for registration, but it must be submitted to the registration authority within one year of registration. Otherwise the company is subject to liquidation.
- For companies with foreign investors, Himoya recommends charter capital of at least 100,000 somoni. This is not a legal requirement but practical advice: it makes dealing with banks and government bodies easier.
Details: Charter capital: what you need to know when registering a company.
Step 5. Prepare the documents
- decision of the sole founder or minutes of the general meeting of founders;
- copies of the passports of the founders and the director;
- Tajik tax identification numbers (TIN) of founders who are individuals;
- registration and constitutional documents of a corporate founder (for a foreign company, notarised and apostilled, unless there is a treaty on mutual recognition of documents);
- the lease agreement with the notice of its registration;
- an application for state registration in the prescribed form;
- certificate of beneficial owners and copies of their passports;
- for a branch or representative office: a power of attorney for its head.
If the founder is a foreign national, note that the TIN of an individual founder is required already when the documents are filed. This means the foreign founder must first obtain a TIN in Tajikistan, and this time should be built into the plan.
If the director is a foreign national, you will also need residence registration, a TIN in Tajikistan, a work visa (for visa-required countries), a licence to employ foreign nationals and a work permit. Details: Documents required for company registration и Company registration by a foreign founder.
Step 6. Filing and timing
The documents are filed with the registration authority. By law, state registration itself takes 1 working day from the submission of a complete set of documents. However, we recommend allowing 5-10 working days for the whole process: the legal address has to be found and checked, the premises inspected, the documents prepared and signed, and foreign founders and the director also need to obtain a TIN. If all this is done in advance and without errors, the registration itself is indeed quick.
After registration, all that remains is to order a company seal and open a bank account.
What you receive after registration
- an electronic certificate of state registration of the legal entity;
- an electronic certificate of TIN assignment;
- an electronic extract from the register of legal entities and individual entrepreneurs (iktibos);
- a paper inspection register book.
The authenticity of the electronic documents can be verified by QR code on the website of the Tax Committee under the Government of the Republic of Tajikistan.
Taxes: what to consider at the registration stage
Your tax regime largely depends on the activities you list at registration, so taxes should be considered before filing the documents, not after.
- From 1 January 2027, the standard VAT rate drops from 14% to 13%. This is already a provision of the current Tax Code and does not depend on the upcoming amendments.
- Amendments to the Tax Code are before Parliament. Under the bill, the VAT registration threshold rises from 1 to 3 million somoni, and the simplified regime can be applied up to 7 million somoni.
- Several activities lose access to the simplified regime: construction, consulting, audit and marketing services, leasing, security services and others, as well as branches and representative offices of foreign companies. Under the bill, they become VAT payers from day one.
- Activity first, legal form second. If your sector is on this list, there is no point registering as a sole proprietor: once the amendments take effect, you will have to move to an LLC and register for VAT. It is simpler to open an LLC straight away.
