Documents Required From an Investor

If the Founder Is a Foreign Legal Entity

To set up an LLC where the sole founder is a legal entity resident in a foreign state, you will need to provide:

• a decision to establish the LLC;
• notarized registration documents (apostilled, unless a mutual recognition treaty applies between the two countries);
• a copy of the director’s passport;
• a lease agreement for the legal address, together with the notice confirming its registration;
• authorized capital of 100,000 somoni (about USD 10,500), to be paid in within one year;
• information on the parent company’s individual founders (beneficiary details and copies of the founders’ passports);
• an application in the prescribed form.

If the Founder Is an Individual

If the founder is an individual, you will need to provide:

• a decision or minutes on establishing the LLC;
• copies of the founder’s and director’s passports;
• a lease agreement for the legal address, together with the notice confirming its registration;
• authorized capital of 100,000 somoni (about USD 10,500), to be paid in within one year;
• the founders’ Tajik TINs;
• an application in the prescribed form.

If the Director Will Be a Foreign National

If the director of the newly established company will be a foreign national, additional documents will be required:

• residence registration;
• a Tajik TIN;
• a work visa (if a visa regime applies between the two countries);
• a license to employ foreign nationals in Tajikistan;
• a work permit.
